Legal terms governing your use of Dislocation

1. Acceptance of Terms

By accessing or using the Dislocation platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

Dislocation is an investment intelligence platform designed for institutional investors, family offices, hedge funds, and sophisticated individuals. The Service provides systematic analysis of market opportunities and is intended for informational purposes only.

2. Eligibility

The Service is available only to:

  • Accredited investors as defined by applicable securities laws
  • Qualified institutional buyers
  • Sophisticated investors with appropriate experience in financial markets
  • Entities and individuals who meet minimum asset thresholds as determined by Dislocation

By using the Service, you represent and warrant that you meet these eligibility requirements.

3. Nature of Service

3.1 Information Only

The Service provides investment research and analysis for informational purposes only. Nothing contained in the Service constitutes:

  • Investment advice or recommendations
  • An offer to buy or sell securities
  • A solicitation of an offer to buy or sell securities
  • Tax, legal, or accounting advice

3.2 No Guarantee of Results

Past performance is not indicative of future results. The analysis provided by the Service is based on historical data and mathematical models that may not accurately predict future market behavior. You acknowledge that all investments involve risk and that you may lose some or all of your invested capital.

3.3 Independent Decision Making

All investment decisions are made solely by you. You are responsible for conducting your own due diligence and consulting with qualified professionals before making any investment decisions.

4. Data and Intellectual Property

4.1 Data Sources

The Service utilizes data from licensed third-party providers including but not limited to Bloomberg, Refinitiv, SEC EDGAR, and other institutional data sources. All data is obtained through proper licensing agreements.

4.2 Proprietary Content

All analysis, methodologies, algorithms, and content provided through the Service are proprietary to Dislocation. You may not:

  • Reproduce, distribute, or publicly display any content from the Service
  • Reverse engineer or attempt to derive the underlying algorithms
  • Use the Service to create competing products or services
  • Share access credentials or allow unauthorized access to the Service

5. Confidentiality

You agree to maintain the confidentiality of all non-public information obtained through the Service. This includes analysis results, opportunity alerts, and any other proprietary information provided by Dislocation.

6. Limitation of Liability

To the maximum extent permitted by law, Dislocation shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses, resulting from:

  • Your use or inability to use the Service
  • Any investment decisions made based on information from the Service
  • Unauthorized access to or alteration of your data
  • Any third-party conduct on the Service

7. Indemnification

You agree to indemnify and hold harmless Dislocation and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

8. Termination

Dislocation reserves the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

10. Changes to Terms

Dislocation reserves the right to modify these Terms at any time. Material changes will be communicated to users via email or through the Service. Continued use of the Service after such modifications constitutes acceptance of the updated Terms.
